Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hangg mobile application, web application, and related services (collectively, the "Service") provided by Hangg, Inc. ("Hangg," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Account Registration

To access most features of the Service, you must create an account by providing a valid phone number and verifying it through SMS. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.

3. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to harass, abuse, or harm other users.
• Impersonate any person or entity or misrepresent your identity or affiliation.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Attempt to gain unauthorized access to any part of the Service or other accounts.
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent.
• Circumvent or manipulate the location verification system, including GPS spoofing or location falsification.
• Upload content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Use the Service to distribute spam, unsolicited messages, or promotional material.
• Violate any applicable law or regulation.

4. User Content

4.1 Your Content

You retain ownership of content you create, upload, or share through the Service ("User Content"). By submitting User Content, you grant Hangg a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your User Content solely for the purpose of operating and improving the Service.

4.2 Content Standards

You are responsible for all User Content you submit. User Content must not:

• Infringe on any third party's intellectual property or proprietary rights.
• Contain sexually explicit material involving minors.
• Promote violence, discrimination, or illegal activities.
• Contain malware, viruses, or other harmful code.

4.3 Content Removal

We reserve the right to remove or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not obligated to monitor all User Content but may do so at our discretion.

5. Location Services

Certain features of the Service, including hangout verification and Aura scoring, require access to your device's location services. By enabling location services:

• You consent to the collection of precise GPS data for the purpose of verifying your attendance at hangouts.
• You acknowledge that location data is shared with other Circle members to confirm group attendance.
• You understand that you may disable location services at any time through your device settings, but doing so will limit certain features of the Service.

You agree not to manipulate, spoof, or falsify your location data. Violation of this provision may result in immediate account suspension or termination.

6. Circles and Social Features

The Service allows you to create and join Circles (groups) and interact with other users. You agree to:

• Respect the privacy and preferences of other Circle members.
• Not share content from private Circles without the consent of Circle members.
• Not use Circle invitations or sharing features for spam or harassment.

Circle administrators have the ability to manage membership and settings. Hangg is not responsible for the actions of Circle administrators or members.

7. Intellectual Property

The Service, including its design, features, code, content, trademarks, and branding, is the property of Hangg, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Third-Party Services

The Service may integrate with or contain links to third-party services, including Firebase (authentication), Google Cloud Platform (hosting and storage), and Google Maps (location services). Your use of third-party services is governed by their respective terms and privacy policies. Hangg is not responsible for the content, practices, or availability of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HANGG DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HANGG, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL HANGG'S TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO HANGG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hangg, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time through the app settings or by contacting us at support@hangg.app.

Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Hangg, Inc. regarding your use of the Service and supersede all prior agreements and understandings.
